Welcome to Midnight Feature. By accessing or using our website and services, you agree to comply with and be bound by the following Terms & Conditions. If you do not agree, please do not use this website or our services.
1. Intellectual Property
All content, graphics, source code, text, case studies, portfolio images, and custom designs displayed on this website are the sole property of Midnight Feature and are protected by Canadian and international copyright and trademark laws. You may not copy, scrape, reproduce, modify, or distribute any material from this website without explicit, prior written permission from the Studio.
2. Service Request & A-La-Carte Pricing Model
No Binding Contract: Inquiries or creative briefs submitted through this website do not constitute a formal commitment to perform services. Projects are officially initiated only after a separate, legally binding Creative Services Contract is signed by both parties and the deposit is paid.
The Pricing Formula: All engagements strictly follow the [MANDATORY BASE INVESTMENT] + [YOUR CHECKBOX ASSETS] = YOUR TOTAL COST pricing model.
Step 1: The Creative Foundation ($500.00 CAD): This is a mandatory, non-negotiable initial framework investment. This fee covers digital onboarding, research, project management, and the engineering of three (3) distinct visual conceptual directions (mood boards, colour theory, and typographic frameworks). No final standalone assets or structural deliverables are included within this initial Foundation fee.
Blueprint Selection & Lock-In: To conclude Step 1, the Client must select exactly one (1) conceptual direction to serve as the project blueprint. To finalize and lock in this blueprint, the Client is restricted to one (1) single consolidated delivery list containing a maximum of ten (10) minor bulleted adjustments.
3. Revision Policy Outline
Scope Parameters: Upon final blueprint lock-in, project deliverables are selected on an itemized basis from the Checkbox Menu. Standard menu pricing covers asset execution in one (1) specific size/dimension configuration.
Initial Format Extensions: Requests for alternative sizing variants of an active asset (e.g., modifying a standard square promotional post layout into a vertical story format) are categorized as Format Extensions and are billed at a rate of $10.00 CAD per additional size configuration.
Moving Beyond the Free Adaptation: In instances where a campaign asset requires a third, fourth, or fifth unique format configuration, initial layout adaptations expire. Any subsequent structural layout changes or secondary dimensions beyond these limits will automatically be categorized under the Studio's standard flat rate tier of $40.00 CAD per additional size configuration.
4. Client Sign-Off & Limitation of Liability
"As-Is" Provision: Midnight Feature provides this website and its initial consultation tools on an "as-is" and "as-available" basis.
Absolute Proofreading Waiver: The Studio is entirely exempt from liability for final production or printing errors (including, but not limited to, typos, incorrect dates, missing text, or incorrect artist lineups) once the client has granted final digital or written approval. The client bears sole responsibility for verifying all asset data prior to print or digital launch.
Licensing Responsibilities: Unless explicitly stated in writing, clients are responsible for securing and maintaining any long-term commercial software subscriptions, web hosting, or unique font licenses required for their active campaigns.
5. Amendments to Terms
Midnight Feature reserves the right to modify, update, or alter these Terms & Conditions and our a-la-carte pricing menus at any time without prior notice. Your continued use of the website following any changes constitutes your absolute acceptance of the revised terms.
6. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising from the use of this website or our initial onboarding structures shall be handled exclusively within the courts of Ottawa, Ontario.
